Description

Apple’s Corporate Law Group is looking for an experienced Senior Managing Counsel, based in Shanghai, to lead a team supporting Apple’s entities and regional expansion in the Greater China region. In this role, you will work with a dynamic, experienced, and highly skilled global team on matters impacting Apple’s business and operations in the region, with a focus on corporate governance, entity management, business expansion, intercompany transactions, post-acquisition integrations, complex corporate reorganizations, and strategic projects.

You will partner closely with Apple’s Finance, Tax, Treasury, Accounting, and Legal teams, providing legal support on a wide range of business initiatives in the region.

Responsibilities

  • Lead and manage a team responsible for corporate governance and compliance for Apple's entities in the Greater China region, including board and shareholder matters, corporate filings, and ongoing entity management and compliance requirements.
  • Act as a trusted legal advisor and partner to key stakeholders across the region, including Finance, Tax, Treasury, and other Legal teams, providing clear and commercially sound guidance.
  • Advise on business expansion initiatives, including new entity formations and corporate restructurings across Greater China.
  • Advise on inter-company arrangements, including financing, capital contributions, dividends, and other cross-border transactions.
  • Provide strategic input on entity structure decisions, working proactively with business and finance teams to anticipate legal needs and drive solutions.
  • Support statutory audit processes and liaise with external auditors and advisors.
  • Manage external legal counsel and service providers, ensuring high-quality, cost-effective legal support.

Minimum Qualifications

  • LLB or equivalent law degree from a recognized university.
  • Qualified lawyer with at least 12 years of strong legal experience advising on legal entity structures, business expansions, corporate governance, and statutory compliance.

Preferred Qualifications

  • Demonstrated ability leading and managing high performing legal teams for at least 2-3 years.
  • Excellent verbal and written communication skills in English and Chinese, with the ability to translate complex legal concepts into clear, practical advice for diverse audiences.
  • Strong ability to build relationships with executive management, teammates, and cross-functional partners globally.
  • Excellent analytical and problem-solving skills, with sound business judgment.
  • In-house experience at a multinational technology company.
  • Strong experience managing subsidiary structures and corporate maintenance, including board/shareholder meetings, corporate filings, reorganizations, post-acquisition integrations, and liquidations.
  • Familiarity with intercompany agreements, including capital contributions, intercompany lending, dividends and other distributions, and transfer pricing considerations.
  • Experience supporting statutory audits and working with external auditors.
  • Experience advising on corporate legal matters across Greater China.
  • Collaborative, proactive, and curious, with a strong interest in technology and the ability to thrive in a fast-paced, international environment.
  • Ability to manage multiple priorities and stakeholders effectively in a fast-paced environment.
